Commercial lease solicitors

Our commercial lease solicitors act for landlords and tenants of business premises. We review the heads of terms, negotiate the lease and advise you for the life of the lease, so you know exactly what you are committing to before you sign.

what we handle

The lease issues we handle most often

Most lease problems don’t start in a dispute with the landlord. They start with heads of terms signed too early, a repair clause nobody read, or a break date that passed. These are the ones we see most often at Lawyerly.

Heads of terms review

You have been sent heads of terms

We review the heads of terms before you commit, flag the points that will cost you later (rent review, repairs, break rights, deposit) and tell you what to push back on while you still have leverage.

Lease drafting and negotiation

You need a lease drafted or negotiated

We draft the lease or review the other side's draft, and negotiate it so the lease matches the heads of terms and protects your business. On the Accelerate plan this covers leases of seven years or less that do not need to be registered. On the Scale and Enterprise plans we handle leases of up to 15 years, through to registration at HM Land Registry where that is required.

Landlord and tenant disputes

A lease is not being kept to

Repairs not done, rent unpaid, a deposit withheld, a rent review in dispute or a break being exercised: we tell you where the lease puts you and put your position to the other side or their agent.

How we help with your commercial lease

A lease is usually the biggest contract a small business signs, and the one it reads least. The term, the rent review, the repairing obligation and the break clause decide what the premises really cost and how easily you can leave. We make sure you understand all four before you sign, then stay on hand for the life of the lease.

When something changes, whether that is a move, a sublet, a rent review or a landlord who is not keeping their side of the bargain, you already have a solicitor who knows your lease and can act quickly.

Heads of terms and lease review

We review the heads of terms and the draft lease, set out the risks in a short report and tell you which terms to accept, negotiate or refuse.

Drafting and negotiating the lease

Your solicitor drafts or negotiates the lease or licence to occupy on your behalf, so the responsibilities on both sides are clear before it is signed. On the Accelerate plan this covers leases of seven years or less that do not need to be registered.

Longer leases, changes and disputes

On the Scale and Enterprise plans we take leases of up to 15 years end to end, including registration at HM Land Registry. On every plan, including Launch, we deal with the licences and deeds that arise during the term, such as a licence to assign or underlet, a deed of variation or a deed of surrender, and put your position to the other side if things go wrong.

Frequently asked questions

Answers to the questions we hear most often about our commercial lease service: what it covers, who we act for and how we charge.

We act for landlords and tenants, though never for both sides of the same lease. That covers reviewing heads of terms and draft leases, drafting and negotiating leases and licences to occupy, advising on assignment, subletting, alterations and variation during the term, and dealing with the other side when there is a disagreement over repairs, rent, deposits, rent reviews or break clauses. On the Accelerate plan we handle leases of seven years or less that do not need to be registered. On the Scale and Enterprise plans we handle leases of up to 15 years, through to registration at HM Land Registry where that is required. Subscribers get ongoing advice for the life of the lease.

Yes. We act for landlords and tenants on the same terms, but never for both sides of the same transaction, and not for anyone giving a guarantee. Portfolio and multi-let letting programmes and leases of residential property are not included.

Yes. Accelerate includes one lease a year of up to seven years that does not need to be registered. Scale and Enterprise include one lease a year of up to 15 years, including leases that must be registered at HM Land Registry. Licences and deeds during the term are included on every plan. Anything else is quoted as a fixed fee, with your plan discount if you subscribe. Disbursements such as searches, registry fees and stamp duty land tax are payable at cost. The full terms are in the Plan Schedule.

A lease granted for more than seven years must be registered at HM Land Registry, and a stamp duty land tax return, or a land transaction tax return for property in Wales, may be needed. On the Scale and Enterprise plans we make the application to register the lease and give your accountant or tax adviser the transaction details they need to prepare and submit the return. We do not advise on the tax itself.

Yes. Send us the lease and the facts. We tell you where you stand and what the lease entitles you to, then put your position to the other side or their agent. Most disagreements over repairs, rent, deposits and service charges are resolved by negotiation once the lease terms are set out plainly. If it does not settle, we tell you the likely cost of each step before you take it.

We agree a fixed fee before we start. A lease of three years or less typically starts from £750, and a lease of up to 15 years from £1,000. Where the lease must be registered, a supplement covers the registration at HM Land Registry. Disbursements are payable at cost. If you later subscribe, your plan discount applies to lease work quoted as a fixed fee.
